• You are responsible for ensuring that all materials provided to Fanogram Digital do not infringe any third-party rights, including intellectual property rights.

6. Intellectual Property

• All materials, content, and data provided by the Client remain the property of the Client.

• All materials, content, and data created by Fanogram Digital as part of the services will remain the property of Fanogram Digital until full payment is received. Upon full payment, all intellectual property rights will be transferred to the Client.

• Fanogram Digital reserves the right to use any created materials for promotional purposes unless otherwise agreed in writing.

7. Confidentiality

Both parties agree to keep all confidential information received from the other party confidential and not to use or disclose such information except as required to perform the services or as required by law.

8. Termination

• Either party may terminate the agreement with 30 days written notice.

• If the agreement is terminated by the Client before the completion of the agreed services, Fanogram Digital reserves the right to invoice for any work completed up to the termination date.

• Fanogram Digital reserves the right to terminate the agreement immediately if the Client breaches any of the terms and conditions or engages in any unlawful activities.

9. Liability Limitation

Fanogram Digital will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or data, incurred by the Client or any third party, whether in an action in contract or tort, arising from your access to or use of our services.

You agree to indemnify, defend, and hold harmless Fanogram Digital, its employees, agents, and affiliates from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorney's fees) arising out of your use of our services, your breach of these terms and conditions, or your violation of any law or the rights of a third party.
